1. Introduction:

By participating in any contest ("Contest") hosted by Beatflipz.com ("Beatflipz", "we", "us", or "our"), you ("Participant", "you", or "your") agree to abide by these Terms of Use ("Terms"). Please read them carefully.

2. Sample Use:

Participants understand that certain contests might involve the use of samples provided by third parties. While Beatflipz aims to use samples with clear licensing terms, it is the responsibility of the Participant to ensure that any musical work they create and potentially exploit commercially adheres to the licensing terms of the original sample provider.

3. Indemnification:

By participating in a Contest, you agree to indemnify, defend, and hold harmless Beatflipz, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including legal fees, arising out of or related to any misuse of the provided samples, violation of these Terms, violation of any rights of a third party, or any breach of the representations, warranties, and covenants made by you herein.

4. No Guarantees:

Beatflipz does not represent or guarantee that the provided samples are free from claims by third parties. It is the sole responsibility of the Participant to clear any samples or portions of samples they use in their works, especially if they wish to exploit their creations commercially.

5. Commercial Exploitation:

If a Participant's work stemming from a Beatflipz Contest is to be commercially exploited, the Participant is solely responsible for obtaining any necessary clearances, permissions, or licenses and for the payment of any fees which may be associated with such commercial exploitation.

6. Termination:

Beatflipz reserves the right to disqualify any Participant who fails to comply with these Terms or who acts in a manner Beatflipz deems inappropriate or disruptive.

7. Changes to the Terms:

Beatflipz reserves the right to modify or replace these Terms at any time. Participants are responsible for regularly reviewing these Terms to stay informed of updates.

8. Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the state of New York.
